Partner Program Terms

1. The program

EQUOS 9 PROPRIETARY LTD may accept you as a referral partner. We review every application and may decline or end participation at any time, with notice where reasonably practicable. The program is not a partnership, joint venture, or employment relationship.

You receive a referral link. Commission is payable only on qualifying referred accounts that subscribe through that link and pay invoices to EQUOS 9 PROPRIETARY LTD.

2. Commission

Commission is 20% of paid Equos.one subscription invoices, excluding GST, for the referred account’s first 12 months. Freight charges, add-ons billed by third parties, refunds, chargebacks, and unpaid invoices do not accrue commission.

Commission becomes payable 30 days after the underlying invoice is paid, so refunds can settle. Payouts are by bank transfer in Australian dollars once your accrued payable balance reaches $50 AUD. Australian partners must provide a valid ABN. If you are registered for GST, 10% GST is added to commission at payout.

We may withhold, reverse, or claw back commission for fraud, self-referral, cancelled accounts, refunds, or breach of these terms.

3. Your conduct

You must not misrepresent Equos.one, promise service levels, uptime, or results we have not published in these partner terms or the platform Terms of Service, or bind EQUOS 9 PROPRIETARY LTD to any customer agreement. Equos.one is provided as a software platform with no service level agreement, as set out in the platform terms.

You are responsible for your own marketing, tax, and compliance. You must not bid on Equos.one brand terms, scrape our site, or use spam or misleading claims.

4. Indemnity and liability

You indemnify EQUOS 9 PROPRIETARY LTD, its officers, employees, contractors, and related bodies corporate against claims, losses, and costs (including reasonable legal fees) arising from your marketing, representations, referred customers insofar as they relate to your conduct, or your breach of these terms — except to the extent caused by EQUOS 9 PROPRIETARY LTD’s fraud or wilful misconduct.

The platform Terms of Service (including no SLA, as-is supply, liability cap, and Australian Consumer Law carve-out) apply to any use of Equos.one. Our aggregate liability to you under the partner program is limited to commission actually paid to you in the twelve (12) months before the claim.

5. Changes and ending

We may change these partner terms or end the program. Continued participation after a change is acceptance. On ending, unpaid accrued commission that is already payable will be paid on the ordinary cycle unless we withhold it for breach. Future referrals stop earning.
